Terms and Conditions of AMC Financial Services

1. Acceptance of Services

By subscribing to the research services offered by AMC Financial Services, the Client voluntarily agrees to receive such services and acknowledges that all investment decisions shall be made at the Client’s sole discretion. The Research Analyst agrees to provide services in accordance with applicable laws, regulations, and the terms outlined herein.

2. Regulatory Compliance

Both the Client and the Research Analyst shall comply with all applicable provisions of:

• SEBI (Research Analysts) Regulations, 2014;
• Circulars, notifications, and guidelines issued by SEBI from time to time;
• Applicable laws, rules, and regulations governing research analyst activities.

3. Client Information and KYC Requirements

The Client shall provide all necessary information and documentation required for Know Your Client (KYC) compliance.

The Client expressly authorizes AMC Financial Services to obtain and verify KYC records from the relevant KYC Registration Agency (KRA) whenever required for regulatory compliance.

4. Standard Terms of Service

The Client confirms that:

1. The terms and conditions governing Research Analyst services have been read, understood, and accepted.
2. Research services are being subscribed to solely for personal investment decision-making.
3. Any investment decision based on research reports, recommendations, or opinions provided by the Research Analyst shall be made independently by the Client.

The Client further acknowledges that:

• Investments in securities markets are subject to market risks.
• Research recommendations do not guarantee profits or returns.
• Past performance does not indicate future performance.
• The Research Analyst shall not be responsible for any losses incurred based on research recommendations.

5. Fees and Payment Terms

1. The Client agrees to pay the fees specified in the invoice or mutually agreed arrangement within the stipulated period.
2. Payments shall be made only through authorized banking channels, including:
   • Bank Transfer
   • UPI
   • Payment Gateway
   • NEFT / RTGS / IMPS
3. Cash payments are strictly prohibited.
4. Payments must be made only to the official bank account of AMC Financial Services.
5. AMC Financial Services shall not be responsible for payments made to any unauthorized third-party account.

6. Risk Disclosure

The Client understands and accepts that:

1. Trading and investing in securities involve substantial market risks.
2. Market conditions may change rapidly and unpredictably.
3. Research recommendations may not always achieve expected results.
4. Investment losses may occur despite careful analysis and research.
5. Registration with SEBI and certification by NISM do not guarantee performance or returns.
6. The Client assumes full responsibility for all investment decisions and outcomes.

7. Conflict of Interest Policy

AMC Financial Services shall comply with all SEBI requirements concerning disclosure and management of conflicts of interest.

The Research Analyst confirms that:

1. Any actual or potential conflict of interest shall be disclosed promptly.
2. Recommendations are prepared independently and objectively.
3. Any material conflict, if it arises in the future, shall be communicated to the Client without delay.
4. Appropriate internal controls are maintained to preserve research independence.

8. Termination and Refund Policy

The Agreement may be terminated under the following circumstances:

By the Client: The Client may terminate the agreement if research services are not delivered as agreed.

By AMC Financial Services: Services may be suspended or terminated due to regulatory action, including suspension or cancellation of SEBI registration.

Refunds: Where applicable, refunds shall be processed on a proportionate basis for the unexpired portion of the subscription period in accordance with SEBI regulations. No refund shall be payable merely because expected returns were not achieved or investment losses were incurred.

9. Grievance Redressal Mechanism

Clients may raise complaints regarding service deficiencies, non-receipt of reports, or any related matter.

AMC Financial Services shall endeavor to address grievances within seven (7) working days.

10. Important Regulatory Disclosures

1. AMC Financial Services cannot execute trades on behalf of any Client.
2. Clients should never authorize the Research Analyst to place trades in their trading account.
3. No guaranteed-return, fixed-income, assured-profit, or similar scheme shall ever be offered.
4. Research recommendations are based on available information and professional analysis.
5. The Client remains solely responsible for investment decisions.
6. SEBI registration, NISM certification, or RAASB enrollment do not guarantee returns or performance.
7. Clients must keep their contact information updated at all times.
8. Clients should never share trading passwords, OTPs, bank credentials, or login details with anyone, including the Research Analyst.

11. Centralized Fee Collection Mechanism (CeFCoM)

Where applicable and upon registration, AMC Financial Services may facilitate fee collection through the Centralized Fee Collection Mechanism (CeFCoM) recognized by SEBI and RAASB.

12. Confidentiality

Both parties agree to maintain confidentiality of all non-public information exchanged during the course of the engagement unless disclosure is required by law or regulatory authorities.

13. Dispute Resolution

Any dispute arising from these terms shall first be attempted to be resolved amicably.

If unresolved, disputes shall be referred to arbitration or such other dispute resolution mechanism as may be mutually agreed upon by the parties and permitted under applicable law.

14. Severability

If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to natural disasters, government actions, regulatory restrictions, pandemics, technical failures, or other unforeseen events.
